Course Description: Corporate Governance is a compulsory course for marketing students. Through the study of this course, students can understand the origin and development process of corporate governance, the basic theories and principles of corporate governance, the composition of corporate governance structure, the organizational principles, functions and powers of the shareholders' meeting, the board of directors and the board of supervisors, the membership conditions and the operation process. Master the design method of the company's equity structure, the operation and voting mechanism of the shareholders' meeting, the board of directors and the board of supervisors, understand the importance of the incentive and restraint mechanism of the company's senior managers, and master the design principles and common methods of the incentive and restraint mechanism of senior managers. Understand the role of corporate information disclosure, master the content, channels and ways of information disclosure, and learn how to evaluate corporate governance according to corporate information disclosure.
